Terms and conditions.

Here you can read which agreements apply when you work with Codo: from the first quote to the end of the assignment.

What these terms apply to.

These terms apply to all quotes, agreements and work by Codo: advice, the AI scan, building and managing a Smart Business Brain, HubSpot implementations, integrations and everything that comes with them. They also apply to follow-up assignments, unless we agree otherwise for those.

Deviations from these terms are only valid in writing. Where the quote or the agreement contradicts these terms, the quote or the agreement prevails. Purchasing or other terms from your side do not apply, unless we have expressly accepted them.

Quotes and agreements.

A quote is valid for thirty days and without obligation until you accept it. The agreement is concluded as soon as you accept the quote in writing, including by email, or as soon as we start the work at your request. The quote describes what we do, what it costs and what we need from you. Anything not in the quote is not part of the assignment.

A quote is based on the information you have given us. If that turns out to be incorrect or incomplete, we may adjust the quote. Prices are in euros and exclude VAT.

Carrying out the assignment.

We carry out the assignment with the knowledge and care you may expect from a specialist. We agree on a result up front and record in the quote how we measure it. We commit to that result, within the agreements in the quote. What AI or a system returns in a specific situation, we cannot guarantee. Results from AI tools are an aid: decisions based on them are yours to make.

From you we need the information, the access to systems and the people the assignment requires, in good time. If the assignment is delayed because of this, the planning moves along and we make new agreements about the costs where needed. If you want to change or add something along the way, we first discuss what that means for the result, the planning and the costs and put it in writing before we continue.

We may have parts of the work carried out by people or parties we engage for it. We remain your point of contact and responsible for the work.

Prices and payment.

You pay for the agreed result, not by the hour. The quote states which result we agree on, what it costs and the payment schedule we invoice by. Management and other ongoing services we invoice monthly in advance. If you ask for work outside the agreement, we agree on a price for it up front. We may adjust our prices once a year; we let you know at least a month ahead.

Payment is due fourteen days after the invoice date. If you do not pay on time, you owe the statutory commercial interest and the reasonable collection costs without further notice, and we may pause the work until payment has been received. Setting off or suspending payments is not allowed. Costs of HubSpot and other software you subscribe to yourself, you pay directly to that supplier.

Ownership and right of use.

Your data stays yours: everything you give us and everything that arises in your systems. What we build specifically for you, such as the setup of your HubSpot environment, integrations, texts and the design of your Smart Business Brain, you may use without restriction within your own organisation once paid for.

Our way of working, methods, templates, code and tools we use for several clients remain Codo's. You receive a right to use them for as long as you need them for the work we have done for you. You may not resell them or pass them on to third parties. Software from others, such as HubSpot, you use under that supplier's terms.

Confidentiality and data.

Everything we learn about your company through the assignment we keep confidential, also afterwards. The same applies to you where our way of working and prices are concerned. We like to name you as a client, for example on our site, but only with your consent.

When we process personal data on your behalf, we do so according to your instructions and the law, and we conclude a data processing agreement for it. How we handle the data of you and your colleagues is in our privacy statement. You make sure you are allowed to share the data you share with us.

Liability.

If we make a mistake, we fix it first. Should we still be liable, that liability is limited to direct damage and to the amount you paid us for the assignment, for ongoing services to what you paid in the six months before. We are not liable for indirect damage, such as lost revenue or profit, loss of data or business interruption. These limitations do not apply if the damage is caused by intent or deliberate recklessness on our part.

We are not liable for outages or changes at suppliers of software we build on, such as HubSpot and providers of AI models, nor for outcomes of AI tools you adopt without checking. If you notice damage, let us know within thirty days. A claim lapses one year after the damage arose.

Term and cancellation.

A project runs until it is delivered. Management and other ongoing services run per month and renew automatically; you can cancel by email with one month's notice. In case of a serious breach that is not remedied after a written warning, or in case of bankruptcy or suspension of payments, either party may end the agreement with immediate effect.

When the collaboration ends, your data stays yours. On request we help within thirty days to hand over everything that is yours, at a price agreed up front. After that we delete the data we still hold about you, except what we must keep for our administration. Work already done remains payable.

Applicable law.

Dutch law applies to all agreements with Codo. If we cannot resolve a dispute together, we submit it to the District Court of Overijssel. Should a provision of these terms prove invalid, the rest remains in force and we replace that provision with a valid one that comes as close as possible.
